These Terms replace our previous Terms of Service and will take effect on the date listed above.

Introduction

Welcome to The Thread Platform, LLC (“The Thread,” “we,” or “us”). We provide a management platform for talent management agencies through our website, which includes a mobile-friendly version accessible via standard mobile browsers (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully, along with our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Services.

Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Children Under 13

The Services are not intended for use by children under the age of 13. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information, we will take steps to delete such information.

Account Registration and Responsibilities

To access the Services, you must register for an account. By doing so, you agree to: 

• Provide accurate and current information 
• Maintain the confidentiality of your credentials 
• Notify us immediately of any unauthorized use of your account

You are solely responsible for all activity that occurs under your account.

Payment Terms

All payments are processed via Stripe, Inc. By subscribing to our Services, you:

• Authorize us to charge your chosen payment method
• Acknowledge that all fees are final unless otherwise stated in our Refund & Cancellation Policy

You are responsible for all applicable taxes. If you believe a billing error has occurred, you must notify us in writing within 30 days of the charge.

Refund and Cancellation Policy

Details regarding subscription cancellations, refunds, plan changes, and account deletions are outlined in our Refund & Cancellation Policy. By subscribing to The Thread, you acknowledge and agree to the terms specified in that policy.

While most fees are non-refundable, exceptions apply to certain annual subscriptions, as outlined in our policy. No partial refunds are issued for the current billing period of either monthly or annual plans.

Permitted Use

You agree to use the Services solely in accordance with applicable laws and these Terms. You shall not: 

• Use the Services for any unlawful or harmful purposes 
• Attempt to reverse-engineer or tamper with the platform 
• Collect data about other users without their consent 
• Introduce malware or other malicious software

Data Privacy and Security

We collect and manage data in accordance with our Privacy Policy. By using the Services, you acknowledge and accept the potential risks of data transmission, including when integrating with third-party platforms (including but not limited to Meta, Google, or other services we may support).

Use of Third-Party Tools

If you link third-party accounts (including but not limited to Meta, Google, or YouTube), you acknowledge that their use is governed by their respective terms and policies. By connecting these accounts, you grant us permission to access and use information from such platforms as necessary to operate and improve our Services.

International Users

If you access the Services from outside the United States or Canada, you do so at your own risk and are responsible for compliance with local laws. The Services may not be appropriate or available in all jurisdictions.

Intellectual Property

The Thread retains all ownership rights to its platform, trademarks, software, and aggregated data. You may not copy, modify, distribute, or otherwise exploit any portion of the Services without our prior written consent.

User-Generated Content

You retain ownership of the content you upload through the Services. However, you grant The Thread a non-exclusive, royalty-free license to use, reproduce, and display such content to operate and improve the Services. This includes suggestions and feedback you submit.

Termination

We reserve the right to suspend or terminate your account at our sole discretion, including but not limited to cases of policy violations. Upon termination: 

• You must cease all use of the Services 
• Your account data may be deleted in accordance with our Privacy Policy 
• You remain liable for all outstanding fees incurred prior to termination

Disclaimers

The Services are provided “as is” and “as available.” We do not guarantee uninterrupted access, accuracy, or suitability for any particular purpose. To the extent permitted by law, we disclaim all warranties, express or implied.

Limitation of Liability

To the fullest extent permitted by law, The Thread shall not be liable for any indirect, incidental, or consequential damages. Our aggregate liability shall not exceed the total amount you paid to us during the 12-month period preceding the claim.

Indemnification

You agree to indemnify and hold harmless The Thread from and against all claims, damages, liabilities, costs, and expenses arising from: 

• Your breach of these Terms 
• Your infringement of third-party rights 
• Disputes concerning your data or account access

Dispute Resolution

Prior to initiating legal proceedings, you agree to attempt informal resolution by contacting us at untangle@the-thread.co. If unresolved within 15 days, either party may initiate arbitration.

• Disputes shall be settled through binding arbitration administered by the American Arbitration Association
• You may opt out of arbitration within 30 days of accepting these Terms
• You waive the right to participate in class actions or consolidated proceedings

Governing Law

These Terms shall be governed by the laws of the State of Delaware (or Ontario, Canada for Canadian users). Legal actions will be brought in Los Angeles County, California or Ontario, as applicable.

Modifications to Terms

We reserve the right to amend these Terms at any time. Significant changes will be communicated via email or the platform. Continued use of the Services constitutes your acceptance of any modified Terms.
